Gypsy Accordion is the website that is owned, managed and operated by Assi Rose Production, a company registered under the laws of Israel, having registered office at Gad Machness 29 Netania 42279, Israel. These Terms and Conditions ("Terms") govern your access and use of our website www.gypsyaccordion.com (hereinafter referred to as “we” “our” “us” “website” or “Gypsy Accordion”) and our mobile application AccordionBot (collectively referred to as the "Platform") and any services you use, receive, purchase or access from or through our website or platform or otherwise through arrangements made by our customer care service or operational staff.

1. THE PLATFORM

We specialized in providing high-quality online music courses and downloadable music notation sheets, specifically focused on world music traditional songs and classical compositions. Our courses are designed to be accessible to musicians of all skill levels, from beginners to advanced players, offering step-by-step instructions, video lessons, and supplementary learning materials. Additionally, we offer carefully transcribed and arranged music notation sheets in digital format. These sheets are intended for personal use by musicians, educators, and enthusiasts looking to expand their repertoire.  While we strive to ensure the accuracy and quality of our materials, we do not guarantee that they will meet every user’s expectations or specific learning needs. 2. ACCOUNT REGISTRATION

For the purpose of visiting, using, accessing or purchasing subscription or availing of the services provided by Gypsy Accordion, each user/visitor (hereinafter “User”) shall create an account by providing true, accurate and authentic personal information including but not limited to full name, a valid email address or and unique password as required by the site. By creating an account (“Gypsy Accordion Account”) you expressly declare that you have read, understood and accepted these Terms of Use and you will also comply with the following; 

  1. while creating an account, you will provide complete, true and accurate personal information as required,
  2. You must be at least 18 years old, if you are less than 18 years then you are not allowed to use our site,
  3.  You will not provide misleading, inaccurate, incomplete, incorrect or prohibited information, 
  4. You will protect your account’s unique password and we advise you to not share any confidential information with anyone else. You are the sole owner of your account.
  5. You will bind the legal entity to whom you represent. 
  6. You agree to receive certain of the services provided to you through this platform via any third-party service providers being controlled or supervised by Gypsy Accordion.

You agree and acknowledge that you are solely responsible for the safety and non-disclosure of your Login Credentials and the use of your Account. If for whatsoever reason, your Account is deleted or blocked, you are no longer entitled to use the Platform. If we suspect or believe that you are violating these conditions then we may at any time restrict, suspend or delete your account.

3. CONTENT

3.1 Gypsy Accordion Content

All content available on the Platform, including but not limited to music courses, instructional videos, music notation sheets, text, graphics, logos, images, and other digital materials (collectively referred to as ” Gypsy Accordion Content“), is the exclusive property of Assi Rose Productions or its licensors. The Content is protected under applicable intellectual property laws, including copyright and trademark laws, and is provided for personal, non-commercial use only. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Content solely for your individual learning and reference purposes. This license does not grant you any ownership rights to the Content, and you are expressly prohibited from:

  • Copying, reproducing, modifying, distributing, or publicly displaying the Content without prior written authorization.
  • Selling, sublicensing, or otherwise exploiting the Content for commercial purposes.
  • Sharing login credentials or allowing unauthorized third parties to access purchased Content.
  • Uploading, publishing, or distributing any portion of the Content on third-party platforms or websites.

We make reasonable efforts to ensure that all Content provided is accurate, up-to-date, and of high quality. However, we do not guarantee that the Content will always be free from errors, omissions, or technical issues. We reserve the right to update, modify, or remove Content at any time without prior notice. In cases where users are permitted to submit feedback, reviews, or other user-generated content on the Platform, they grant Assi Rose Productions a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute such content for promotional and operational purposes. We reserve the right to moderate or remove any user-generated content that is deemed inappropriate, offensive, or in violation of these Terms. Due to licensing requirements and local laws, we cannot guarantee that all Content will be available in all territories. 

3.2 User content

By submitting, uploading, sharing, storing, or otherwise providing any text, images, audio, video, data, or other materials (“User Content“) on or through Gypsy Accordion, you hereby grant Gypsy Accordion a non-exclusive, worldwide, irrevocable, transferable, sub-licensable, and royalty-free license to use, copy, reproduce, distribute, process, adapt, modify, translate, publicly perform, display, publish, and otherwise exploit such User Content, in whole or in part, in any media format, for the purpose of operating, improving, marketing, and providing the services offered by Gypsy Accordion.

Notwithstanding the foregoing, Gypsy Accordion does not claim any ownership rights over your User Content. Subject only to the limited rights granted to Gypsy Accordion under these Terms, you retain all rights, title, and interest in and to your User Content. However, you acknowledge and agree that once your User Content is submitted, it may be accessed, used, or shared by other users, and Gypsy Accordion shall not be liable for any use, reproduction, modification, or distribution of your User Content by third parties.

You further represent and warrant that:

  • You are the sole owner of or have obtained all necessary rights, licenses, consents, and permissions to grant Gypsy Accordion the rights specified herein;
  • Your Content does not infringe upon, misappropriate, or violate any intellectual property rights, privacy rights, or other legal rights of any third party;
  • Your Content does not contain any unlawful, defamatory, obscene, threatening, or otherwise objectionable material;
  • You assume full responsibility for any liability arising from the submission, publication, or dissemination of your User Content on Gypsy Accordion.

Gypsy Accordion reserves the right but is not under an obligation to review, remove, or restrict access to any User Content at its sole discretion if it determines that such content violates these Terms, applicable laws, or third-party rights. You acknowledge and agree that Gypsy Accordion shall not be responsible or liable for any loss or damage arising from the use of, or reliance upon, any User Content available through the platform.

4. SUBSCRIPTION PURCHASE AND REFUND POLICY

4.1 SUBSCRIPTION POLICY 

Gypsy Accordion offers various sorts of packages as a subscription for a fixed amount per month/ or per year that can be availed by the user/subscriber (“Subscriber”) by paying prescribed subscription charges via our website. You must agree to the payment terms or methods presented at the time of signing up on the website. Unless terminated earlier, the subscription will commence and expire depending upon the indicated commencing and ending date mentioned on the subscription package (“Initial Term”).

While purchasing subscription or any services through the Website you will be required to provide us your personal information such as first name, last name, email address and password, and a valid method of payment and then follow the procedure set out on the Website to submit your order. You are advised to check all of the information that you enter and correct any errors before submitting your order, as once your order is submitted, we will begin processing it immediately. If we are do not accept your order, we will inform you by email and refund any payments already made. 

To make a Purchase, you must: 

  1. be at least 18 years of age;
  2. be a natural person; and 
  3. not violate any agreements with us or any of our terms and conditions. 

Prior to the renewal of your subscription, we will send a notification via email at least 7 days before the renewal date. You may cancel your subscription at any time before the renewal date to avoid automatic charges.

 

4.2 REFUND POLICY 

The payments or fees already paid by the subscribers shall be non-refundable. We may also cancel or terminate your subscription if we cannot charge your credit card or you violate these terms and/or applicable laws and you may lose access to the Service and any data associated with your subscription. 

4.3 CANCELATION OF SUBSCRIPTION  

You can cancel your subscription at any time. The cancellation will be effective from the end of the subscription year in which you cancel. Other than as set out in these terms, cancellations are not eligible for refunds.

5. USER’S OBLIGATIONS AND RESTRICTIONS

While using this platform, you consent to comply with the following acceptable term of use and submit that

    1. You must provide true, accurate, complete, and up-to-date personal information during registration and refrain from submitting any false, misleading, or incorrect details.
    2. It is your responsibility to safeguard your Gypsy Accordion account, and you are prohibited from sharing, reselling, or granting access to your account to others.
    3. You must not engage in or support any illegal activities while using Gypsy Accordion, including but not limited to hacking, drug-related offenses, self-harm, human trafficking, terrorism, software piracy, or any unlawful distribution of counterfeit software.
    4. You are not permitted to violate the intellectual property rights of third parties, including copyrights, trademarks, trade secrets, or any other proprietary or personal rights.
    5. Impersonating another individual or misrepresenting your identity in any manner is strictly prohibited.
    6. You must not attempt to reverse-engineer, manipulate, or distribute content belonging to others without obtaining prior authorization.
    7. You are not allowed to contact other members or visitors privately to make unsolicited offers, proposals, or engage in abusive or harassing behavior.
    8. Any content shared must not be hateful, abusive, racist, discriminatory, sexually explicit, obscene, defamatory, threatening, or incite violence or hatred against individuals or groups.

 

We reserve the right to take necessary action if we determine that a user is deliberately violating these policies. Failure to comply with these terms may result in the suspension, restriction, or termination of your account without prior notice.

6. COMMENCEMENT AND TERMINATION

This Agreement will commence and become effective immediately upon your creation of a Gypsy Accordion’s account or availing of our services directly through our platform and will continue as long as you use our platform or have access to it. You can terminate this agreement by deleting your account at any time.

Gypsy Accordion may, at any time, terminate this Agreement immediately in the event that: 

  1. you no longer qualify to accept services under applicable law, rule, permit, ordinance or regulation; 
  2. you are found minor or under 18 years of age during our internal inquiry or investigation,
  3. your violation or breach of any representation, warranty, covenant contained in the terms of this agreement; and 
  4. For any reason essential to protect the safety of the website community or third party’s rights.



7. DISCLAIMERS AND LIMITATION OF LIABILITY

ALL CONTENT OR SERVICES ON THIS WEBSITE ARE PROVIDED ON AN “AS IT IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY ASSURANCE OR WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO QUALITY, FITNESS, MERCHANTABILITY, COMPLETENESS, RELIABILITY FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, COMPATIBILITY, SECURITY, ACCURACY, INDIRECT OR CONSEQUENTIAL LOSS OR CORRUPTION OF YOUR DATA, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAWS OF ISRAEL. GYPSY ACCORDION OR ITS AFFILIATES, ASSOCIATES, DIRECTORS OR AGENTS WILL HAVE NO LIABILITY, CONTINGENT OR OTHERWISE, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, STATUTORY OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT, WARRANTY OR TORT  OR ANY OTHER THEORY OF LIABILITY OR WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH (I) ANY USAGE OF THIS SITE OR CONTENT AVAILABLE ON THE SITE, (II) ANY FAILURE, INTERRUPTION, DELAY OR INABILITY TO USE ANY PORTION OF THIS SITE ), OR (III) THE PERFORMANCE OR NON-PERFORMANCE BY SITE OR ANY THIRD-PARTY SERVICE PROVIDERS OR DISTRIBUTORS, OR ( IV) ANY CLAIM ARISING DUE TO ANY DAMAGE OR VIRUSES THAT MAY INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR BROWSING IN THIS SITE AND (V) CLAIM ARISING DUE TO DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES. WE DO NOT GUARANTEE THAT OUR DIGITAL CONTENT WILL BE COMPATIBLE WITH ALL DEVICES OR OPERATING SYSTEMS. YOU ARE RESPONSIBLE FOR ENSURING THAT YOUR DEVICES MEET THE NECESSARY TECHNICAL REQUIREMENTS BEFORE PURCHASING OUR SERVICES. GYPSY ACCORDION SHALL ALSO NOT BE LIABLE FOR ANY TECHNICAL ISSUES, SOFTWARE INCOMPATIBILITY, OR SYSTEM FAILURES THAT PREVENT ACCESS TO PURCHASED DIGITAL PRODUCTS. IF, NOTWITHSTANDING THE FOREGOING, WE, OUR AFFILIATES OR ANY THIRD PARTY SERVICE PROVIDER OR DISTRIBUTOR ARE FOUND LIABLE FOR ANY LOSS OR DAMAGE, THE LIABILITY OF GYPSY ACCORDION AND THE THIRD PARTY PROVIDERS AND DISTRIBUTORS SHALL BE LIMITED TO THE TERMINATION OF THE AGREEMENT AND SHALL IN NO EVENT EXCEED $100 PER CLAIM OR TOTAL OF $100 IN AGGREGATE FOR ALL THE CLAIMS ARISING FORM THE SAME USER.

8. THIRD-PARTY LINKS

Gypsy Accordion may includes or contains links of third party (“Third-Party”) including but not limited to, text, graphics, pictures, designs, music, sound, videos, articles and other content belonging to third-party that are not controlled, managed or maintained, investigated or monitored or checked by Gypsy Accordion. You agree that we shall not be held liable or responsible for any third-party link or its content including accuracy, offensiveness, contents, opinions, reliability, or policies contained therein. We advise and suggest you read their policies first before using or availing of services as we do not endorse their content. If you use or install any third-party website linked with us, you do so at your own risk.

9. MODIFICATION TO THE TERMS

We reserve the discretionary rights to make changes, alterations, amendments or modifications whether temporarily or permanently relating to (i) the whole or any of the terms of this agreement, (ii) any features, functions or benefits or (iii) any policies related to the platform or (iv) the fees and costs relating to our subscription services and (e) any others services provided by this platform at any time with or without prior notice. You agree that the amended agreement shall be binding on you upon your acceptance of the revised agreement. We will notify you via email or website notification in case of material changes in terms. You are advised to regularly review our website for any updates relating to this agreement.

10. BLOCKING OF IP ADDRESSES

You admit that in order to protect or secure the integrity of our website, Gypsy Accordion may at any time block users from certain IP addresses or computers from accessing the website.

11. NOTICES

Any notices or other communications permitted or required hereunder will be in writing and intimated to you by Gypsy Accordion;

  1. via e-mail to the mailing address that you provide while registration, or 
  2. by website notification. 

For notices made by e-mail, the date on which such notice is transmitted will be deemed the date of receipt. 

12. FEEDBACK

Gypsy Accordion always welcome, admire and encourage you to provide feedback and suggestions for the Services (“Feedback”). You may submit Feedback by mailing us, at [email protected]. You agree and admit that all Feedback you give us will be treated as non-confidential and will be the sole and exclusive property of Gypsy Accordion. You acknowledge that your Feedback may be used by us or our affiliates for any purpose, including developing, improving, and marketing purposes. You hereby irrevocably transfer and assign to Gypsy Accordion all of your right, title, and interest in and to all Feedback, including all worldwide patent, copyright, trade secret, moral and other proprietary or intellectual property rights therein, and waive any moral rights you may have in such Feedback.

13. GOVERNING LAW AND JURISDICTION

This Agreement is to be governed and interpreted in accordance with the laws of the Israel without regard to its conflicts of laws. Parties agrees that all disputes or claims arising out of or in connection with this agreement shall be resolved or settled by the federal or provincial courts of the Israel having exclusive jurisdiction. In any action or proceeding, the prevailing party enforcing the terms of this Agreement shall be entitled to an award of its reasonable attorneys’ fees and costs.

14. GENERAL TERMS

  1. Entire agreement these terms of use constitute the entire agreement between Gypsy Accordion and you and expressly replace, override and terminate all prior agreements and understandings whether written or oral, express or implied, relating to the subject matter governing their relationship. 
  2. Headings Paragraphs headings used in this agreement are only for convenience and are not intended to limit or define the scope or interpretation of this agreement.
  3. Severability if any portion, or provision of this agreement is declared to be invalid, unlawful, unenforceable, or in conflict with any law of a federal, state, or local government having jurisdiction over this agreement, the remaining provision shall continue to be valid and enforceable.
  4. Force majeure Gypsy Accordion shall not be held responsible for any delay or failure to perform all or any part of its obligations under this agreement if such failure or delay is directly or indirectly caused by the factors reasonably beyond the control of Gypsy Accordion, including, without limitation such as acts of god, fog, embargo, fire, flood, storms, earthquake, the act of a public enemy, pandemic, strike or other labor dispute, acts of terrorism, government requirement, or civil or military authority.
